1. Introduction
These Terms & Conditions ("Terms") govern the use of the NAFA Interior Design LLC website (the "Site") and the provision of interior design, architecture, furniture, fit-out, artwork and project supervision services (the "Services") by NAFA Interior Design LLC ("NAFA", "we", "us", "our") to its clients ("Client", "you"). By engaging NAFA for a project, submitting an enquiry, or using this Site, you agree to be bound by these Terms.
2. Our Services
NAFA provides interior design, architectural design, furniture and furnishings selection, artwork curation, outdoor design and landscaping, engineering coordination, project management and post-contract site supervision. The specific scope of Services for any project will be set out in a separate proposal, quotation or written agreement between NAFA and the Client, which forms part of these Terms.
3. Proposals and Quotations
All proposals and quotations issued by NAFA are valid for 30 days from the date of issue unless stated otherwise, and are based on the information available to us at the time. Quotations may be revised following a site survey or where the Client's requirements change after the proposal is issued.
4. Fees and Payment Terms
Unless otherwise agreed in writing, NAFA requires a non-refundable deposit to commence work, with the balance payable in stages tied to project milestones as set out in the project proposal. Invoices are payable within 14 days of issue. Late payments may result in work being suspended until outstanding amounts are settled, and NAFA reserves the right to charge reasonable interest on overdue amounts in accordance with UAE law.
5. Design Ownership and Intellectual Property
All concepts, drawings, renderings, specifications and other design materials produced by NAFA remain the intellectual property of NAFA Interior Design LLC at all times, including designs and materials created by NAFA's employees, contractors or consultants in the course of their work for NAFA. Upon full payment for the relevant project, the Client is granted a licence to use the final approved designs solely for the purpose of constructing and furnishing the specific property described in the project. This licence does not permit the Client to reproduce, resell, or use NAFA's designs for any other property or purpose without our prior written consent. NAFA reserves the right to photograph completed projects and to use such images, along with project details, in our portfolio, marketing materials and on this Site, unless the Client requests confidentiality in writing prior to project commencement.
6. Client Responsibilities
The Client agrees to provide timely feedback and approvals at each stage of the design process, reasonable and safe access to the site for surveys and supervision visits, and any permits, approvals or third-party consents required for the project. Delays caused by the Client in providing feedback, access or approvals may extend the project timeline accordingly and NAFA shall not be liable for such delays.
7. Procurement and Third-Party Suppliers
Where NAFA procures furniture, materials or equipment on the Client's behalf, this is done as agent for the Client. Lead times, warranties and terms of supply are set by the relevant manufacturer or supplier and are outside NAFA's control. The Client is responsible for the cost of all items procured on their behalf, in addition to NAFA's design and procurement fees.
8. Site Supervision
Where site supervision services are included in the project scope, NAFA will conduct periodic site visits to confirm that work is being carried out in accordance with the approved design. NAFA does not act as a main contractor and is not responsible for the workmanship, safety practices or contractual performance of any third-party contractor engaged directly by the Client. Any defects arising from contractor error remain the responsibility of the relevant contractor; NAFA will support the Client in identifying and communicating required corrections.
9. Health, Safety and Conduct on Site
The Client is responsible for ensuring that any site to which NAFA employees, contractors or consultants are given access is reasonably safe to enter, and for informing NAFA of any known hazards in advance of a visit. NAFA staff and representatives are entitled to a safe, respectful working environment at all times, whether on-site or in the course of any project communication; NAFA reserves the right to suspend Services, without liability, in response to unsafe site conditions or abusive, threatening or harassing conduct directed at its staff.
10. Changes and Variations
Any changes requested by the Client after a design stage has been approved may incur additional fees and may affect the project timeline. NAFA will provide a written estimate for any significant variation before proceeding.
11. Cancellation and Termination
Either party may terminate an engagement by providing 14 days' written notice. In the event of cancellation, the Client remains liable for all fees for work completed up to the date of termination, together with any non-cancellable costs already committed to suppliers or contractors on the Client's behalf.
12. Limitation of Liability
To the fullest extent permitted by UAE law, NAFA's total liability arising from or in connection with any project shall not exceed the total fees paid by the Client for that project. NAFA shall not be liable for indirect, incidental or consequential losses, including loss of profit or loss of use. Nothing in these Terms limits NAFA's liability for gross negligence, willful misconduct, or any liability that cannot be excluded under UAE law.
13. Liability of Employees and Representatives
Any NAFA employee, consultant or representative performing Services does so on behalf of, and as agent for, NAFA Interior Design LLC. No individual employee, consultant or representative of NAFA assumes personal liability to the Client for acts or omissions carried out within the proper scope of their duties for NAFA; any such liability rests with NAFA Interior Design LLC as set out in these Terms.
14. Client Indemnity
The Client agrees to indemnify and hold harmless NAFA Interior Design LLC and its employees, contractors and representatives against any third-party claims, losses, damages or costs arising from the condition of the Client's site, the actions of contractors engaged directly by the Client, or the Client's breach of these Terms.
15. Force Majeure
NAFA shall not be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including but not limited to natural disasters, government action, supply chain disruption or labour shortages.
16. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of a project, except where disclosure is required by law or where NAFA reasonably requires disclosure to suppliers, contractors or consultants engaged in delivering the project. This obligation extends to NAFA's employees and contractors in respect of Client information they access in the course of their work.
17. Website Use
This Site and its content are provided for general information purposes only. While we take care to keep information accurate and up to date, NAFA makes no warranty as to the completeness or accuracy of content on this Site, and reserves the right to amend content at any time without notice. Images of completed projects shown on this Site represent past work and do not constitute a guarantee of specific outcomes for future projects.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from these Terms or from a project engagement shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
19. Changes to These Terms
NAFA may update these Terms from time to time. The version published on this Site at the time of a project proposal or Site visit will apply.
